Terms of Sale

These terms apply when you buy from Northgate ("Northgate," "we," "us") through our website, by text, email or phone, or through a Northgate sales rep. By placing an order or opening an account, you agree to these terms and to our Privacy Policy.
1. Orders & pricing
- All equipment is new. Prices are in U.S. dollars and include standard curbside freight nationwide unless the product page or your order says otherwise. Alaska, Hawaii and U.S. territories are quoted separately.
- Your order is an offer to buy. It's accepted when we confirm stock and ship it or confirm your pickup. If an item is out of stock, discontinued, or was listed at a clearly wrong price, we'll contact you and you can choose a replacement, wait, or get a full refund.
- Prices, specifications and availability can change without notice until your order is accepted. Product photos may show similar models.
- Contractor and account pricing applies only to approved accounts and only to the account holder's own purchases.
- Sales tax: we collect it where the law requires. Tax-exempt buyers (for example with a Texas resale certificate) must give us a valid certificate before the order is paid.
2. Payment & financing
- We accept payment online through our secure processor (card, bank transfer/ACH, Apple Pay and Google Pay), by invoice (ACH or Zelle), or in cash for local pickup.
- Orders ship after payment clears. Bank transfers usually take 3 to 5 business days.
- Monthly payments through Affirm or Klarna are loans or payment plans from those companies, subject to their approval and their terms. Northgate is paid in full at checkout and is not the lender.
- If a payment is reversed or charged back after delivery, the amount is still owed, and we may pause the account until it's resolved.
3. Shipping & delivery
- Orders ship by LTL freight truck, usually within 3–5 business days after payment clears. Delivery dates from the carrier are estimates; we aren't responsible for carrier delays.
- Standard delivery is curbside: the driver unloads at the curb or end of the driveway. The driver does not carry equipment inside, into a backyard, or onto a roof.
- Deliveries to homes or places without a loading dock or forklift need home delivery with a liftgate ($175 extra). The carrier will call to schedule an appointment; someone 18 or older must be there to receive it.
- Missed appointments, wrong or incomplete addresses, re-deliveries and storage fees charged by the carrier are the buyer's responsibility.
- Orders delivered within about two hours of Dallas–Fort Worth may receive a lower delivery price, shown at checkout.
- Risk of loss passes to you when the equipment is delivered to your address or picked up.
4. Inspect before you sign
Check every box before signing the delivery receipt. Count the pieces and look for crushed, torn or punctured boxes, bent panels, or oil stains. If anything is wrong, write it on the delivery receipt (for example "damaged crate, bent panel") before you sign, and take photos.
- Report missing items within 24 hours and damage within 3 business days of delivery, with photos.
- If damage is noted on the delivery receipt and reported on time, we'll file the freight claim and send a replacement or repair part. Hidden damage found later is handled case by case with the carrier. Damage not noted or reported on time may not be covered.
- Don't install damaged equipment; installing it can void the warranty and the freight claim.
5. Local pickup
- You can pick up in the Dallas–Fort Worth area and the freight built into the price comes off (shown at checkout). We'll confirm the pickup address and time after your order.
- Bring a vehicle or trailer rated for the equipment's weight and straps to secure it. We can help you load, but you're responsible for securing and transporting it.
- Cash is accepted at pickup. Orders not picked up within 14 days of the scheduled date may be cancelled under the return terms below.
6. Commercial equipment (rooftop units)
- Commercial units should be shipped to the job site. The driver does not unload: you must have a forklift and operator, or a crane, on site. If you ask us to arrange unloading or a crane, that's quoted and charged separately.
- Curbs, economizers, adapters and accessories are not included unless listed on your order.
- Large units (especially 20 to 25 tons) may need special freight handling; we'll confirm delivery details and any extra charges before shipping.
7. Installation & building codes
- HVAC equipment must be installed by a properly licensed and qualified technician, following the manufacturer's instructions and all local codes and permit requirements.
- You're responsible for choosing the correct size and match for your application. Federal efficiency rules limit which air conditioners can be newly installed in the Southeast and Southwest; our site checks your ZIP code and warns you, but the installer is responsible for compliance.
- Equipment that uses R-454B or R-32 refrigerant must be installed and serviced by technicians certified to handle it.
8. Warranty
- All equipment carries the manufacturer's limited warranty (for example 10-year parts on many models, and longer heat-exchanger coverage on furnaces). Warranty length depends on the model and on registration; see each product's specifications.
- Northgate registers the manufacturer warranty for you under our dealer account, using the buyer and installation details on your order. Please give us the installation address and date so we can complete the registration. To make a warranty claim, contact us and we'll handle it with the manufacturer.
- Manufacturer warranties generally cover parts, not labor, and don't cover damage from improper installation, lack of maintenance, wrong electrical supply, flooding, or equipment installed or used in ways the manufacturer doesn't allow.
- Northgate doesn't add any warranty of its own beyond the manufacturer's warranty, except where the law doesn't allow that limit.
9. Returns & cancellations
- Unopened units can be returned within 30 days, minus original shipping and a 15% restocking fee. Buyer pays return shipping.
- Returned equipment must be unused, uninstalled, and in its original, unopened packaging. Contact us for a return authorization before sending anything back.
- You can cancel before your order ships or before pickup for a full refund. After it ships, the return terms above apply.
- Refunds go back to the original payment method after we receive and inspect the return. For Affirm or Klarna purchases, the refund goes to the financing company.
- Special-order items, commercial units and equipment shipped to your job site at your request may not be returnable; we'll tell you before you order.
10. Accounts & sales reps
- You're responsible for keeping your login private and for orders placed with it. Tell us right away if you think your account was misused.
- We may approve, decline, change pricing on, or close accounts at our discretion.
- Northgate sales reps are independent representatives. Pricing, discounts and terms are only binding when shown on your account or confirmed in writing by Northgate.
11. Limits of liability
To the extent the law allows, Northgate is not liable for indirect, incidental or consequential damages (including lost profits, labor costs, or loss of use), and our total liability for any order is limited to the amount you paid for that order.
Nothing in these terms limits rights you have under consumer protection laws that can't be waived.
12. Law, disputes & changes
- These terms are governed by the laws of the State of Texas. If there's a dispute, please contact us first; most problems can be solved quickly. Any lawsuit will be brought in the state or federal courts serving Dallas County, Texas, unless the law requires otherwise.
- We may update these terms; the version posted when you place an order applies to that order.
